RESOLUTION NO. RS2017-694

A resolution approving Amendment One to a contract between Election Systems & Software, LLC and the Metropolitan Government of Nashville and Davidson County to extend the contract term.

WHEREAS, The Metropolitan Government of Nashville and Davidson County, acting by and through the Purchasing Agent, previously entered into a contract agreement with Election Systems & Software, LLC for the provision of maintenance and support services for the Metropolitan Government’s existing voter registration system approved by Resolution RS2013-725; and,

WHEREAS, the original term of the contract was four (4) years, and, pursuant to Section 3.1 of the original agreement, the parties can extend the term of the contract by amendment if mutually agreed upon, in writing, by contractor and the Purchasing Agent; and

WHEREAS, Section 2 of Resolution RS2013-725, approving the contract, states that any amendments, renewals, or extension of the terms of the Agreement must be approved by Resolution of the Metropolitan Council; and,

WHEREAS, the parties wish to amend the contract to extend the term of the contract for an additional one (1) year period; and

WHEREAS, it is to the benefit of the citizens of the Metropolitan Government of Nashville and Davidson County that amendment one be approved.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1: That Amendment One to the contract by and between The Metropolitan Government and Election Systems & Software, LLC, for the provision of maintenance and support services for the Metropolitan Government’s existing voter registration system, a copy of which Amendment One is attached hereto and incorporated herein, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.

Section 2: That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
