RESOLUTION NO. RS2016-234

A resolution approving an amendment to the agreement between The Metropolitan Government of Nashville and Davidson County, Electric Power Board of The Metropolitan Government of Nashville and Davidson County, and Vanderbilt University for access to the 800-MHZ System for public safety and emergency services purposes.

WHEREAS, Ordinance No. BL2012-335 approved an Agreement between The Metropolitan Government of Nashville and Davidson County, Electric Power Board of The Metropolitan Government of Nashville and Davidson County (“NES”), and Vanderbilt University for access to the Metropolitan Government/NES 800-MHZ System for public safety and emergency services purposes; and,

WHEREAS, Vanderbilt University is in the process of effecting a restructuring arrangement whereby Vanderbilt University Medical Center (“VUMC”), a Tennessee non-profit corporation, will acquire and succeed to the clinical health care assets and businesses owned by Vanderbilt University; and,

WHEREAS, as reflected in the Consent to Assignment attached hereto, Vanderbilt University desires to assign the subject 800-MHZ System Agreement to VUMC; and,

WHEREAS, the parties wish to amend the Agreement to authorize the assignment of the Agreement to VUMC; and,

WHEREAS, Ordinance No. BL2012-335 provides that amendments to the 800-MHZ Agreement may be approved by resolution of the Metropolitan Council receiving at least twenty-one (21) affirmative votes.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. That the Consent to Assignment of the 800-MHZ Agreement between The Metropolitan Government of Nashville and Davidson County, Electric Power Board of The Metropolitan Government of Nashville and Davidson County, and Vanderbilt University, attached hereto and incorporated herein, is hereby approved and the Metropolitan Mayor is authorized to execute the same.

Section 2. That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
