RESOLUTION NO. RS2015-1388

A resolution approving an amendment to the corporate charter of the Convention Center Authority to change the principal address and registered agent for the authority.

WHEREAS, the Convention Center Authorities Act of 2009, codified as T.C.A. §7-89-101, et seq., authorized the Metropolitan Government to form a convention center authority for the purposes set forth in the Act; and

WHEREAS, pursuant to Resolution No. RS2009-881, the Council of The Metropolitan Government of Nashville and Davidson County ("Metropolitan Council") approved the form of corporate charter proposed to be used in organizing the Convention Center Authority of the Metropolitan Government (the “Authority”), and authorizing the Metropolitan Mayor to execute, acknowledge, and file a charter for the Authority (the “Charter”); and

WHEREAS, on March 13, 2014, the Authority adopted a motion approving the filing of an application with the Metropolitan Council seeking to amend the Charter to change the principal address and registered agent; and

WHEREAS, the Authority has filed an application in the form of a letter from the Authority Chair, Mr. Marty Dickens, a copy of which is attached hereto and incorporated herein, requesting the Metropolitan Council to approve an amendment to the Charter changing the principal location of the Authority to the Music City Center address and naming Charles Starks as the registered agent for the Authority; and

WHEREAS, the Metropolitan Council has determined it is necessary that the proposed amendment to the Charter be approved.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. In accordance with T.C.A. § 7-89-107, the Metropolitan Council hereby finds and determines that it is wise, expedient, necessary, and advisable that the following amendments to the Charter of the Convention Center Authority of the Metropolitan Government be approved:

I. By amending Paragraph 3 to provide that the location of the principal office of the Authority shall be:
Music City Center
201 Fifth Avenue South
Nashville, Tennessee 37203

II. By deleting Paragraph 11 in its entirety and substituting with the following new Paragraph 11:
11. The Registered Agent of the Authority shall be Charles Starks, President & CEO of the Authority, Music City Center, 201 Fifth Avenue South, Nashville, Tennessee 37203.

Section 2. This Resolution shall take effect from and after its adoption, the welfare of the Metropolitan Government requiring it.
