RESOLUTION NO. RS2014-1309

A resolution approving Amendment One (1) to a solid waste collection services contract between Waste Industries of Tennessee, LLC, and The Metropolitan Government of Nashville and Davidson County, acting by and through its Department of Public Works, for a change to the pricing schedule, CPI adjustment, contract value and the vehicle age restriction, the extension of the term through the exercise of the renewal option, and the provision of replacement bonds.

WHEREAS, Waste Industries of Tennessee, LLC provides certain collection services for solid waste to The Metropolitan Government of Nashville and Davidson County (“Metro”) as set forth in the Contract to Provide Collection Services for Solid Waste dated July 28, 2004 (“Contract”); and,

WHEREAS, the parties desire to amend the Contract in order to (i) reduce the curbside and backdoor collection price; (ii) extend the term of the Contract by Metro’s exercise of the first renewal options granted in the Contract; (iii) provide Waste Industries of Tennessee, LLC the ability to exercise discretion in the replacement age of its Service Vehicles; (iv) delete the waiver of the CPI adjustment for a one year time period; (v) increase the value of the contract; and (vi) replace the existing bonds with substitute bonds in the same amount.

NOW, THEREFORE BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. That Amendment One (1) to the Contract to Provide Collection Services for Solid Waste, a copy of which is attached hereto and incorporated herein, by and between Waste Industries of Tennessee, LLC and The Metropolitan Government of Nashville and Davidson County, acting by and through its Department of Public Works, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.

Section 2. That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
