RESOLUTION NO. RS2014-1167

A resolution approving the amendment of a Foreign-Trade Zone Application Operations Agreement between The Metropolitan Government and Ozburn-Hessey Logistics, LLC (“OHL”) for the operation of a Foreign-Trade Zone.

WHEREAS, The Metropolitan Government is authorized to establish, operate and maintain foreign trade zones and subzones pursuant to T.C.A. § 7-85-101 et. seq.; and

WHEREAS, The Metropolitan Government is the grantee for Foreign Trade Zone No. 78 as successor to the Metropolitan Nashville Port Authority pursuant to Resolution RS99-24; and

WHEREAS, OHL previously entered into a Foreign-Trade Zone Operations Agreement with The Metropolitan Government to operate such Foreign-Trade zone; and

WHEREAS, OHL wishes to amend its operation of the previously established Foreign-Trade Zone, and has requested The Metropolitan Government’s approval of the amended version of the Operations Agreement, which is attached hereto; and

WHEREAS, Ordinance BL2000-499 requires agreements for the operation and maintenance of foreign trade zones and subzones require approval of the Metropolitan Council by resolution receiving at least twenty-one votes.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. The Metropolitan Council hereby approves the amendment of the Foreign-Trade Zone Operating Agreement between The Metropolitan Government and OHL.

Section 2. The Metropolitan Mayor, or his designee, is authorized and directed on behalf of the Grantee to do and perform all acts and to execute and deliver all instruments and documents necessary or convenient for the submission of the subzone application on behalf of The Metropolitan Government of Nashville & Davidson County to the Executive Secretary of the Foreign-Trade Zones Board, Department of Commerce, Washington, D.C. and take such further action as deemed appropriate incident to securing the approval by the Foreign-Trade Zones Board with respect to this Operations Agreement.

Section 3. The amended Foreign Trade Zone Operations Agreement, attached hereto as Exhibit A, is hereby approved and the Metropolitan Mayor is hereby authorized to execute said agreement.

Section 4. That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
