RESOLUTION NO. RS2014-1110

A resolution approving an amendment to an agreement between The Metropolitan Government of Nashville and Davidson County and Hospital Corporation of America (“HCA”) concerning the exchange of certain parcels of real estate and construction of a new public health center.

WHEREAS, pursuant to an agreement (the “Agreement”) approved by Ordinance No. BL2011-866, HCA is building a facility to be conveyed to The Metropolitan Government of Nashville and Davidson County with the underlying parcel of real property in exchange for the real property comprising the current Lentz Health Center and other consideration referenced in the Agreement; and,

WHEREAS, pursuant to the terms of the document (the “Amendment”) attached to this resolution as Exhibit A, the parties seek to amend the Agreement; and,

WHEREAS, Ordinance No. BL2011-866 permits amendments to the Agreement to be approved by resolution.

WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that the amendment be approved.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. That the Amendment (Exhibit A) is hereby approved, and the Metropolitan Mayor is authorized to execute the same.

Section 2. That this Resolution shall take effect from and after its final passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
