RESOLUTION NO. RS2013-921

A resolution to approve the second amendment to the lease agreement between The Metropolitan Government and Square Investment Holdings, LP for office space in the Washington Square Building located at 222 Second Avenue North (Proposal No. 2011M-002PR-002).

WHEREAS, The Metropolitan Government and Square Investment Holdings, LP previously entered into a lease agreement for office space in the Washington Square Building (the “Building”) located at 222 Second Avenue North in Nashville to house the Metropolitan Legal Department and the Office of the District Attorney for Davidson County and dated June 10, 2008, which lease was approved by Ordinance BL2008-226; and,

WHEREAS, The Metropolitan Government and Washington Square Holdings, LP executed a first amendment to said lease on January 10, 2011, adding space for the Office of the District Attorney for Davidson County to house its Juvenile Court staff displaced after the May 2010 flood which lease amendment was approved by BL2011-842; and,

WHEREAS, the Metropolitan Government and Square Investment Holdings, LP have now agreed to a second lease amendment which will provide additional space for the Office of the District Attorney for Davidson County and also provide an option for a future additional expansion for the Office of the District Attorney for Davidson County; and,

WHEREAS, the amendment will also extend the term of the lease for an additional five (5) years with a new termination date of November 30, 2023; and,

WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that this second lease amendment be approved.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1: That this Second Amendment to the Lease Agreement, a copy of which is attached hereto and incorporated herein, is hereby approved and the Director of Finance or his designee is authorized to execute it on behalf of the Metropolitan Government.

Section 2: That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
