RESOLUTION NO. RS2013-846

A resolution approving an attached amendment to the agreement by and between the Metropolitan Government of Nashville and Davidson County and the Nashville Downtown Partnership concerning operation of certain parking facilities, to delegate to the Downtown Partnership the authority to enter into a separate agreement with UBS AG, New York Branch, for use of parking spaces in the Courthouse garage.

WHEREAS, the Metropolitan Government owns certain parking facilities in the downtown Nashville area; and,

WHEREAS, pursuant to the Contract Between the Metropolitan Government of Nashville and Davidson County and the Nashville Downtown Partnership dated June 6, 2012 and approved by Council by Ordinance No. BL2012-146 (the “Agreement”), the Nashville Downtown Partnership was engaged to operate and manage the parking facilities therein described; and,

WHEREAS, pursuant to Ordinance No. BL2012-146, amendments to the Agreement may be approved by resolution by 21 votes of the Metropolitan Council; and,

WHEREAS, the parties now desire to amend that Agreement to delegate to the Downtown Partnership the authority to enter into a separate agreement with UBS AG, New York Branch, for use of parking spaces in the Courthouse garage; and,

WHEREAS, approval of the Amendment to the Agreement is in the best interests of the citizens of Nashville and Davidson County.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. The Amendment to the Agreement between the Metropolitan Government and the Nashville Downtown Partnership (Exhibit A) is hereby approved and the Metropolitan Mayor is authorized to execute the amendment on behalf of the Metropolitan Government.

Section 2. Any further amendment to the Agreement must be approved by resolution of the Metropolitan Council receiving at least 21 affirmative votes.

Section 3. This resolution shall take effect from and after its passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
