SUBSTITUTE RESOLUTION NO. RS2013-785

A resolution authorizing the submission of a Foreign-Trade Zone Application by DHL and approving an agreement between The Metropolitan Government and DHL for the operation of a Foreign-Trade general purpose zone.

WHEREAS, The Metropolitan Government is authorized to establish, operate and maintain foreign trade zones and subzones pursuant to T.C.A. § 7-85-101 et. seq.;

WHEREAS, The Metropolitan Government is the grantee for Foreign Trade Zone No. 78 as successor to the Metropolitan Nashville Port Authority pursuant to Resolution RS99-24;

WHEREAS, DHL wishes to operate a Foreign-Trade Zone and has requested The Metropolitan Government’s assistance in establishing such general purpose zone;

WHEREAS, DHL has prepared an Application with Manufacturing Authority to be submitted to the Foreign Trade Zones Board;

WHEREAS, DHL has entered into a Foreign-Trade Zone Operations Agreement with The Metropolitan Government to operate such Foreign-Trade general purpose zone, a copy of which is attached hereto; and

WHEREAS, Ordinance BL2000-499 requires agreements for the operation and maintenance of foreign trade zones and subzones require approval of the Metropolitan Council by resolution receiving at least twenty-one (21) votes

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

SECTION 1. The Metropolitan Council hereby authorizes the submission of the Application with Manufacturing Authority to the Foreign Trade Zones Board as requested by DHL.

SECTION 2. The Metropolitan Mayor, or his designee, is authorized and directed on behalf of the Grantee to do and perform all acts and to execute and deliver all instruments and documents necessary or convenient for the submission of the subzone application on behalf of The Metropolitan Government of Nashville & Davidson County to the Executive Secretary of the Foreign-Trade Zones Board, Department of Commerce, Washington, D.C. and take such further action as deemed appropriate incident to securing the approval by the Foreign-Trade Zones Board with respect to said subzone application.

SECTION 3. The Foreign Trade Zone Operations Agreement attached hereto as Exhibit A is hereby approved and the Metropolitan Mayor is hereby authorized to execute said agreement.

SECTION 4. That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
