RESOLUTION NO. RS2013-672

A resolution approving an agreement between the Metropolitan Government and the Convention Center Authority of Nashville and Davidson County for heating and cooling services at the Music City Center.

WHEREAS, pursuant to Ordinance No. BL2001-921, the Metropolitan Government owns and operates (through a contractor) a district heating and cooling system (“DES System”) serving private and public customers in downtown Nashville; and,

WHEREAS, Ordinance No. BL2001-921 approved a form customer agreement; and,

WHEREAS, Ordinance No. BL2001-921 authorizes the approval by resolution of customer agreements varying from the approved form; and,

WHEREAS, the agreement (“Agreement”) attached hereto and incorporated into this resolution as Exhibit A varies from the approved form agreement due to modifications to the DES System and operational adjustments necessary specifically to serve the Music City Center; and,

WHEREAS, approval of the Agreement is in the best interests of the Metropolitan Government of Nashville and Davidson County.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. The document attached as Exhibit A to this resolution is hereby approved.

Section 2. This resolution shall take effect from and after its passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
