RESOLUTION NO. RS2012-530

A resolution approving an amendment to the Recycling Service Agreement between the Metropolitan Government of Nashville and Davidson County and QRS, Inc., approving the assignment of that contract from QRS, Inc. to Waste Management of Tennessee, Inc.

WHEREAS, the Metropolitan Government of Nashville and Davidson County entered into a Recycling Service Agreement with QRS, Inc. (“QRS”), formerly Rivergate Recycling, dated September 8, 2004, attached as Exhibit A; and,

WHEREAS, pursuant to BL2009-529, approved on October 8, 2009, the Recycling Service Agreement was amended and its term was extended through 2015 (effective November 1, 2009); and,

WHEREAS, Waste Management, Inc. of Tennessee, a Tennessee corporation (“Waste Management”), is acquiring substantially all of the assets of QRS that are used in its business in Tennessee, and those parties want to have QRS’ responsibilities under the Recycling Services Agreement assigned to Waste Management in connection with that acquisition; and,

WHEREAS, Waste Management is capable of handling the contractor’s responsibilities under the Recycling Service Agreement and willing to assume the contract from QRS; and,

WHEREAS, approval of this amendment allowing the assignment to Waste Management is in the best interest of the citizens of the Metropolitan Government of Nashville and Davidson County.

NOW, THEREFORE BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. That the Second Amendment to the Recycling Service Agreement by and between QRS, Inc. and The Metropolitan Government of Nashville and Davidson County, acting by and through the Metropolitan Public Works Department, approving the assignment of the Recycling Service Agreement, as extended and amended, to Waste Management, Inc. of Tennessee, a copy of which Second Amendment is attached as Exhibit B hereto and incorporated herein, is hereby approved, and the Metropolitan Mayor is authorized to execute the same.

Section 2. That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
