SUBSTITUTE RESOLUTION NO. RS2012-489

A resolution appropriating $1,050,000 of income from the Capitol Mall Urban Development Action Grant (UDAG) to the Metropolitan Development and Housing Agency for the benefit of HCA Health Services of Tennessee, Inc. and other affiliates of HCA Holdings, Inc., including Parallon Business Solutions, LLC, HealthTrust Purchasing Group, L.P., and Sarah Cannon Research Institute, LLC, and for job recruitment efforts.

WHEREAS, by Ordinance No. 090-1112, the Metropolitan County Council (“Metro Council”) of the Metropolitan Government of Nashville and Davidson County allocated a portion of payments received in connection with the Capitol Mall Urban Development Action Grant (UDAG) to be used to provide economic activities that provide direct benefit to persons residing within Nashville’s designated Pocket of Poverty; and

WHEREAS, HCA Holdings, Inc. (“HCA”) proposes to relocate the headquarters and central business operations of certain of its subsidiaries to a facility (the “Project”) that (a) will be developed by West End Summit Development, LLC (the “Project Developer”), (b) will be located at 1600 West End Avenue (which is within Nashville’s designated Pocket of Poverty), and (c) is expected to be completed in 2015; and

WHEREAS, in connection with the relocation of the headquarters and central business operations of such subsidiaries, HCA Health Services of Tennessee, Inc., a Tennessee corporation and an indirect subsidiary of HCA, or one or more other subsidiaries of HCA will enter into one or more lease or sublease agreements with the Project Developer (such lease or sublease agreements with the Project Developer being referred to collectively herein as the “HCA Sublease” and HCA Health Services of Tennessee, Inc. or such other HCA subsidiaries that enters into the HCA Sublease being referred to herein as “HCA - Tennessee”) will lease approximately 475,000 - 500,000 rentable square feet of office space at the Project; and

WHEREAS, HCA anticipates that the relocation of the headquarters and central business operations of such subsidiaries to the Project and the expansion of the operations of such subsidiaries will result in the creation of over 1,000 Project-based positions for personnel of HCA affiliates within five years following completion of the Project (excluding positions already based within the geographic boundaries of the Metropolitan Government, other than certain positions of Parallon Business Solutions, LLC temporarily based at the Metro Center in Nashville) and that many of such positions are likely to be filled by individuals residing within the designated Pocket of Poverty in Nashville; and

WHEREAS, UDAG funds allocated to HCA-Tennessee will be used to reimburse the HCA affiliates that occupy the Project for documented expenses related to moving and relocation costs and purchase and installation of office furniture and equipment, including information technology equipment; and

WHEREAS, UDAG funds allocated for job recruitment efforts will be used to promote employment opportunities at the Project for the benefit residents living within Nashville’s designated Pocket of Poverty.

NOW, THEREFORE, BE IT ENACTED BY THE METROPOLITAN COUNTY COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. That $1,000,000 in Urban Development Action Grant funds are hereby appropriated to the Metropolitan Development and Housing Agency (“MDHA”) for the benefit of HCA’s affiliates that occupy a portion of the Project.

Section 2. That the UDAG funds so appropriated shall be used to reimburse the HCA affiliates that occupy the Project for documented expenses incurred after August 31, 2012 related to moving and relocation costs and purchase and installation of office furniture and equipment, including information technology equipment.

Section 3. That $50,000 in Urban Development Action Grant funds are hereby appropriated to the Metropolitan Development and Housing Agency (“MDHA”) to be used for job recruitment and job fairs to promote and increase the employment opportunities at the Project to benefit residents living within Nashville’s designated Pocket of Poverty.

Section 4. That this resolution shall take effect from and after its passage, the welfare of the Metropolitan Government of Nashville and Davidson County requiring it.
