RESOLUTION NO. RS2012-295

A resolution approving agreements between the Tennessee Valley Authority (TVA), the Electric Power Board of the Metropolitan Government of Nashville and Davidson County (NES) and the Metropolitan Department of Water and Sewerage Services (MWS) for the purchase of electricity generated by wind and solar units plus Interconnection and Parallel Operation Agreements between NES and MWS.

WHEREAS, MWS is under contract with Vanderbilt University to install wind and solar electricity generating units located at 3441 Love Circle in Nashville, Tennessee (the “Love Circle Site); and,

WHEREAS, the electricity from the units will be delivered to the NES power grid where it will be purchased in accordance with the attached agreements between TVA, NES and MWS; and,

WHEREAS, NES further requires an Interconnection and Parallel Operation Agreement to transport generated electricity into the NES lines connection; and,

WHEREAS, under Tennessee law (Tenn. Code Ann. Section 12-9-101 et seq.), agreements between governmental agencies can be approved by Resolution.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. That the attached agreements between the Tennessee Valley Authority and The Metropolitan Government of Nashville and Davidson County, acting by and through the Electric Power Board (NES) and The Metropolitan Government of Nashville and Davidson County acting by and through the Department of Water and Sewerage Services are hereby approved, and the Metropolitan Mayor is authorized to execute the same.

Section 2. The agreements to be signed for the wind power connection are: NES Contract No. 11-34-395 and 11-34-396.

Section 3. The agreements to be signed for the solar power connection are: NES Contract No. 11-34-397 and 11-34-398.

Section 4. That this Resolution shall take effect from and after its final passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
