RESOLUTION NO. RS2011-1678

A resolution approving the third amendment to the lease agreement between The Metropolitan Government of Nashville and Davidson County, acting through the Metropolitan Police Department, and Signature Center, L.P. for the lease of office space for the PASS Program (Proposal No. 2011M-012PR-001).

WHEREAS, the Metropolitan Government of Nashville and Davidson County, acting by and through the Director of Public Property on behalf of the Metropolitan Police Department, has negotiated an amendment to the Lease Agreement with Signature Center, L.P. to lease office space located at 1900 Church Street, Suite 500, Nashville, Tennessee to house its PASS Program; and

WHEREAS, the original lease agreement was approved and accepted by the Metropolitan Council by ordinance, which ordinance provided that any amendment to the lease agreement shall be approved via a Resolution of the Metropolitan Council receiving at least twenty-one affirmative votes; and

WHEREAS, the Metropolitan Government and the Lessor desire to amend the agreement to extend the term of the lease by ten years while reducing the current base rent for the first three years of the new term; and

WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that this third lease amendment be approved.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1: That this third lease amendment entered into between The Metropolitan Government of Nashville and Davidson County and Signature Center, L.P., a copy of which is attached hereto and incorporated herein, is hereby approved and the Metropolitan County Mayor is authorized to execute the same.

Section 2: That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
