RESOLUTION NO. RS2010-1248
A resolution approving the proposed amended and restated charter and amended bylaws for the Nashville Education, Community and Arts Television Corporation.
WHEREAS, Ordinance No. BL2010-614, adopted on February 16, 2010, repealed Chapter 6.10 of the Metropolitan Code of Laws and abolished the Public, Educational and Governmental Access Oversight Committee; and,
WHEREAS, Ordinance No. BL2010-614 amended Section 6.08.080 of the Metropolitan Code of Laws and created a new subsection (G) which required the Metropolitan Educational Access Corporation (MEAC) to change its name to the Nashville Education, Community and Arts Television Corporation (NECAT) and incorporate other provisions by amending and restating its charter; and,
WHEREAS, the function of the NECAT is to have responsibility for program production, management, and promotion of the education, arts and community access channels on all cable television systems; and,
WHEREAS, Metropolitan Code of Laws, Section 6.08.080(G)(4) provides that the NECAT submit by resolution a proposed amended and restated charter to the Metropolitan Council for approval prior to its filing with the Tennessee Secretary of State as a not-for-profit corporation; and,
WHEREAS, as required by Metropolitan Code of Laws, Section 6.08.080(G)(4), the CATV special committee recommends the approval of the proposed amended and restated charter for the NECAT as a not-for-profit corporation; and,
WHEREAS, the bylaws of MEAC provide that amendments of the bylaws be submitted by resolution to the Metropolitan Council for approval, and its proposed bylaws have been amended with the transition to NECAT.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1. That the charter of the Nashville Education, Community and Arts Television Corporation (NECAT), a copy of which is attached hereto as Exhibit A and incorporated herein by reference, is hereby approved.
Section 2. That the amended bylaws of the Nashville Education, Community and Arts Television Corporation (NECAT), a copy of which is attached hereto as Exhibit B and incorporated herein by reference, are hereby approved.
Section 3. That this Resolution shall take effect from and after its adoption, the welfare of the Metropolitan Government of Nashville and Davidson County requiring it.
