RESOLUTION NO. RS2009-912

A resolution appointing the initial board of directors to The Convention Center Authority of The Metropolitan Government of Nashville and Davidson County.

WHEREAS, by Resolution No. RS2009-881 duly adopted on August 18, 2009, the Metropolitan County Council has, pursuant to the Convention Center Authorities Act of 2009, 2009 Public Acts of Tennessee, Chap. 474 (to be codified at Title 7, Chapter 89)(the “Act”) authorized and approved the creation of The Convention Center Authority of The Metropolitan Government of Nashville and Davidson County; and,

WHEREAS, the Act provides that all members of the board of directors shall be appointed by the Mayor and confirmed by resolution of the governing body of The Metropolitan Government of Nashville and Davidson County; and,

WHEREAS, the Act provides that all members of the board of directors be duly qualified voters of The Metropolitan Government of Nashville and Davidson County; and,

WHEREAS, the Act provides that neither an elected official nor an employee of The Metropolitan Government of Nashville and Davidson County may serve as a member of the board of directors; and,

WHEREAS, the Act provides that the initial board of directors shall be divided into three groups containing substantially equal numbers; and,

WHEREAS, the Act provides that the initial term of the board of directors included in the first group shall be two years; and,

WHEREAS, the Act provides that the initial term of the board of directors included in the second group shall be three years; and,

WHEREAS, the Act provides that the initial term of the board of directors included in the third group shall be four years; and,

WHEREAS, the Act provides that if at the expiration of any term of office of any director a successor has not been appointed, the director whose term of office has expired shall continue to hold office until the director’s successor is appointed; and,

WHEREAS, the Mayor has appointed Vonda McDaniel to serve in the first group of the initial term of the board of directors from October 1, 2009 through September 30, 2011; and,

WHEREAS, the Mayor has appointed Leo Waters to serve in the first group of the initial term from of the board of directors from October 1, 2009 through September 30, 2011; and,

WHEREAS, the Mayor has appointed William E. McDonald to serve in the first group of the initial term of the board of directors from October 1, 2009 through September 30, 2011; and,

WHEREAS, the Mayor has appointed Darrell A. Drumwright to serve in the second group of the initial term of the board of directors from October 1, 2009 through September 30, 2012; and,

WHEREAS, the Mayor has appointed Mona Lisa Warren to serve in the second group of the initial term of the board of directors from October 1, 2009 through September 30, 2012; and,

WHEREAS, the Mayor has appointed W. Lucus Simons to serve in the second group of the initial term of the board of directors from October 1, 2009 through September 30, 2012; and,

WHEREAS, the Mayor has appointed C. Mark Arnold to serve in the third group of the initial term of the board of directors from October 1, 2009 through September 30, 2013; and,

WHEREAS, the Mayor has appointed Marty G. Dickens to serve in the third group of the initial term of the board of directors from October 1, 2009 through September 30, 2013; and,

WHEREAS, the Mayor has appointed Ken Levitan to serve in the third group of the initial term of the board of directors from October 1, 2009 through September 30, 2013; and,

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. Vonda McDaniel, who is a duly qualified voter in The Metropolitan Government of Nashville and Davidson County and who is not an elected officer of or employed by The Metropolitan Government, is hereby confirmed a director of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County to fill a term beginning October 1, 2009 and ending September 30, 2011; provided, however, that if at the expiration of said term of office of Vonda McDaniel, a successor thereto shall not have been appointed, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so appointed.

Section 2. Leo Waters, who is a duly qualified voter in The Metropolitan Government of Nashville and Davidson County and who is not an elected officer of or employed by The Metropolitan Government, is hereby confirmed a director of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County to fill a term beginning October 1, 2009 and ending September 30, 2011; provided, however, that if at the expiration of said term of office of Leo Waters, a successor thereto shall not have been appointed, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so appointed.

Section 3. William E. McDonald, who is a duly qualified voter in The Metropolitan Government of Nashville and Davidson County and who is not an elected officer of or employed by The Metropolitan Government, is hereby confirmed a director of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County to fill a term beginning October 1, 2009 and ending September 30, 2011; provided, however, that if at the expiration of said term of office of William E. McDonald, a successor thereto shall not have been appointed, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so appointed.

Section 4. Darrell A. Drumwright, who is a duly qualified voter in The Metropolitan Government of Nashville and Davidson County and who is not an elected officer of or employed by The Metropolitan Government, is hereby confirmed a director of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County to fill a term beginning October 1, 2009 and ending September 30, 2012; provided, however, that if at the expiration of said term of office of Darrell A. Drumwright, a successor thereto shall not have been appointed, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so appointed.

Section 5. Mona Lisa Warren, who is a duly qualified voter in The Metropolitan Government of Nashville and Davidson County and who is not an elected officer of or employed by The Metropolitan Government, is hereby confirmed a director of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County to fill a term beginning October 1, 2009 and ending September 30, 2012; provided, however, that if at the expiration of said term of office of Mona Lisa Warren, a successor thereto shall not have been appointed, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so appointed.

Section 6. W. Lucas Simons, who is a duly qualified voter in The Metropolitan Government of Nashville and Davidson County and who is not an elected officer of or employed by The Metropolitan Government, is hereby confirmed a director of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County to fill a term beginning October 1, 2009 and ending September 30, 2012; provided, however, that if at the expiration of said term of office of W. Lucas Simons, a successor thereto shall not have been appointed, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so appointed.

Section 7. C. Mark Arnold, who is a duly qualified voter in The Metropolitan Government of Nashville and Davidson County and who is not an elected officer of or employed by The Metropolitan Government, is hereby confirmed a director of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County to fill a term beginning October 1, 2009 and ending September 30, 2013; provided, however, that if at the expiration of said term of office of C. Mark Arnold, a successor thereto shall not have been appointed, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so appointed.

Section 8. Marty G. Dickens, who is a duly qualified voter in The Metropolitan Government of Nashville and Davidson County and who is not an elected officer of or employed by The Metropolitan Government, is hereby confirmed a director of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County to fill a term beginning October 1, 2009 and ending September 30, 2013; provided, however, that if at the expiration of said term of office of Marty G. Dickens, a successor thereto shall not have been appointed, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so appointed.

Section 9. Ken Levitan, who is a duly qualified voter in The Metropolitan Government of Nashville and Davidson County and who is not an elected officer of or employed by The Metropolitan Government, is hereby confirmed a director of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County to fill a term beginning October 1, 2009 and ending September 30, 2013; provided, however, that if at the expiration of said term of office of Ken Levitan, a successor thereto shall not have been appointed, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so appointed.

Section 10. All Resolutions, or parts thereof, in conflict with the provisions of this Resolution are, to the extent of such conflict, hereby repealed.

Section 11. That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
