RESOLUTION NO. RS2009-881
A resolution approving the formation of a convention center authority, approving the form of corporate charter proposed to be used in organizing the authority, and authorizing the Metropolitan Mayor to execute, acknowledge, and file a charter for the authority.
WHEREAS, the Convention Center Authorities Act of 2009, 2009 Public Acts of Tennessee, Chap. 474, (to be codified at Title 7, Chapter 89), (the "Act"), authorizes the Metropolitan Government to form a convention center authority for the purposes set forth in the Act;
WHEREAS, the Metropolitan Council ("Metropolitan Council") of The Metropolitan Government of Nashville and Davidson County ("Metropolitan Government") finds and determines that it is wise, expedient, necessary, and advisable that a convention center authority of the Metropolitan Government (the "Authority") be formed;
WHEREAS, the Metropolitan Council desires to authorize the Mayor of the Metropolitan Government (the "Metropolitan Mayor") to form the Authority by executing, acknowledging, and filing a corporate charter for the Authority, the form of which such corporate charter is attached hereto as Exhibit A (the "Charter");
NOW, THEREFORE, BE IT RESOLVED BY THE METROPOLITAN COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
SECTION 1. The Metropolitan Government hereby finds and determines that it is wise, expedient, necessary, and advisable that the Authority be formed.
SECTION 2. The Metropolitan Mayor is hereby authorized to proceed to form the Authority in accordance with the Act and is authorized to execute, acknowledge, and file the Charter substantially in the form attached as Exhibit A, which is hereby approved.
SECTION 3. All acts and doings of the Metropolitan Mayor, the Director of Finance and any other officer of the Metropolitan Government that are in conformity with the purposes and intent of this Resolution shall be, and the same hereby are in all respects, approved and confirmed as may be necessary or appropriate in order for the Authority to be formed in accordance with the Act.
SECTION 4. This Resolution shall take effect from and after its adoption, the welfare of the Metropolitan Government requiring it.

Madam President:
I move to amend Resolution No. RS2009-881 by substituting the proposed Charter for The Convention Center Authority of The Metropolitan Government of Nashville and Davidson County, which is incorporated into Section 2 of the Resolution as “Exhibit A”, with the attached new Charter.
