RESOLUTION NO. RS2009-798

A resolution approving two amendments to, as well as a renewal and extension of, the contract by and between The Metropolitan Government of Nashville and Davidson County, acting by and through the Metropolitan Board of Health, and the United Way of Metropolitan Nashville to arrange assistance in the planning, development and delivery of services for minority individuals affected and infected with HIV/AIDS.

WHEREAS, The Metropolitan Government of Nashville and Davidson County, acting by and through the Metropolitan Board of Health, previously entered into a contract agreement with the United Way of Metropolitan Nashville to arrange assistance in the planning, development and delivery of services for minority individuals affected and infected with HIV/AIDS to the Metropolitan Public Health Department; and

WHEREAS, the parties wish to amend that contract agreement, pursuant to Amendment No. 4 and Amendment No. 5 attached hereto, to increase the amount of the award for a new total grant award of $3,161,675; and

WHEREAS, the United Way of Metropolitan Nashville, in accordance with the contract extension and renewal attached hereto and incorporated herein, wishes to continue to provide assistance in the planning, development and delivery of services for individuals affected and infected with HIV/AIDS to the Metropolitan Public Health Department; and

WHEREAS, the parties wish to renew and extend the original agreement; and

WHEREAS, in exchange for the delivery of services to the Metropolitan Public Health Department, the Metropolitan Government will provide payment of $1,009,211.00 for the period of March 1, 2009 through February 28, 2010; and,

WHEREAS, it is to the benefit of the citizens of The Metropolitan Government of Nashville and Davidson County that the two amendments and the renewal and extension of the contract be approved.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. That Amendment 4 and Amendment 5 to the contract by and between The Metropolitan Government of Nashville and Davidson County, acting by and through the Metropolitan Board of Health, and the United Way of Metropolitan Nashville to arrange assistance in the planning, development and delivery of services for minority individuals affected and infected with HIV/AIDS, copies of which are attached hereto and incorporated herein, are hereby approved.

Section 2. That the contract extension and renewal by and between The Metropolitan Government of Nashville and Davidson County, acting by and through the Metropolitan Board of Health, and the United Way of Metropolitan Nashville to arrange assistance in the planning, development and delivery of services for individuals affected and infected with HIV/AIDS, a copy of which is attached hereto and incorporated herein, is hereby approved.

Section 3. That this resolution shall take effect from and after its adoption, the welfare of the Metropolitan Government of Nashville and Davidson County requiring it.
