SUBSTITUTE RESOLUTION NO. RS2005-997

A resolution electing two members to the Board of Directors of the Industrial Development Board of The Metropolitan Government of Nashville and Davidson County.

WHEREAS, the Metropolitan County Council has, pursuant to Chapter 53 of Title 7 of the Tennessee Code Annotated, as amended, duly authorized and approved the establishment of The Industrial Development Board of the Metropolitan Government of Nashville and Davidson County; and

WHEREAS, T.C. A., § 7-53-301, as amended, provides that all members of the Board of Directors shall be elected by the governing body of the Metropolitan Government of Nashville and Davidson County; and

WHEREAS, the terms of two members of said Board of Directors have expired, and it is necessary that these positions be filled by election of the Metropolitan County Council; and

WHEREAS, Colonel Robert Whitworth has been nominated by Harold White; and

WHEREAS, Nettie Scalf has been nominated by J. B. Loring; and

WHEREAS, Anedra Henley has been nominated by Ludye N. Wallace; and

WHEREAS, Nathaniel Harris has been nominated by Ludye N. Wallace; and

WHEREAS, the nominations of Anedra Henley and Nathaniel Harris were withdrawn; and

WHEREAS, an election has been conducted pursuant to the Rules of Procedure of the Metropolitan County Council of the Metropolitan Government of Nashville and Davidson County on October 4, 2005, resulting in the election of Colonel Robert Whitworth and Nettie Scalf to said positions.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

SECTION 1. Colonel Robert Whitworth, who is an elector of and taxpayer in the Metropolitan Government of Nashville and Davidson County and who is not an officer of or employed by the Metropolitan Government, is hereby elected a director of the Industrial Development Board of the Metropolitan Government of Nashville and Davidson County for a term of six (6) years ending August 23, 2011; provided, however, that if at the expiration of said term of office of Colonel Robert Whitworth a successor thereto shall not have been elected, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so elected.

SECTION 2. Nettie Scalf, who is an elector of and taxpayer in the Metropolitan Government of Nashville and Davidson County and who is not an officer of or employed by the Metropolitan Government, is hereby elected a director of the Industrial Development Board of the Metropolitan Government of Nashville and Davidson County for a term of six (6) years ending August 23, 2011; provided, however, that if at the expiration of said term of office of Nettie Scalf a successor thereto shall not have been elected, then such person whose term has so expired shall nevertheless continue to hold office until a successor shall be so elected.

SECTION 3. All Resolutions, or parts thereof, in conflict with the provisions of this Resolution are, to the extent of such conflict, hereby repealed.

SECTION 4. That this Resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
