RESOLUTION NO. RS2005-730
A resolution accepting a grant from the Opry Mills Mall Limited Partnership to The Metropolitan Government of Nashville and Davidson County by and through the Nashville Career Advancement Center for the Pearl Sims Learning and Development Center, and approving the grant agreement as amended.
WHEREAS, BL2002-991 approved a lease for property at Opry Mills Shopping Center from the Opry Mills Limited Partnership ("Mills Partnership") to be used by the Nashville Career Advancement Center for the Pearl Sims Learning and Development Center ("the Center"); and
WHEREAS, in furtherance of the purposes of said lease, the parties executed a Memorandum of Understanding providing for the Mills Partnership to contribute $300,000 to NCAC for purposes of the Center, in addition to other benefits; and
WHEREAS, Amendment One to that Memorandum of Understanding was subsequently executed, providing for an additional contribution of $100,000 to NCAC for purposes of the Center; and
WHEREAS, the parties wish to execute Amendment Two to that Memorandum of Understanding, to provide for the Mills Partnership to contribute an additional $100,000 to NCAC for purposes of the Center; and
WHEREAS, copies of the Memorandum of Understanding, Amendment One, and Amendment Two are attached hereto and incorporated herein; and
WHEREAS, it is to benefit the citizens of The Metropolitan Government of Nashville and Davidson County that this grant be accepted and this Agreement and Amendments be approved.
NOW, THEREFORE BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:
Section 1. That the grant agreement and two amendments thereto, by and between the Opry Mills Mall Limited Partnership to The Metropolitan Government of Nashville and Davidson County, by and through the Nashville Career Advancement Center, for the Pearl Sims Learning and Development Center, copies of which are attached hereto and incorporated herein, are hereby approved, and the Metropolitan Mayor is authorized the execute the same.
Section 2. That the amount of this grant be appropriated to the Nashville Career Advancement Center based on the revenues estimated to be received and any match to be applied.
Section 3. That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
