RESOLUTION NO. RS2004-623
A resolution approving a second amendment to a contract between The Metropolitan Government of Nashville and Davidson County and Cummins Station, L.L.C. for the lease of office space at 209 10th Avenue South, Nashville, Tennessee. (Proposal No. 96M-002U).
Whereas, Metropolitan Code of Laws Section 2.24.210 provides that, “Any leases of public property, except leases of space in the Stahlman Building, shall be subject to the approval of the metropolitan council;” and
Whereas, in 1996, Cummins Station, L.L.C. entered into a contract with the Metropolitan Government for the lease of office space at 209 10th Avenue South, which contract was approved by Bill No. 96-160 (the “contract”); and
Whereas, Bill No. 96-160 provided that amendments to this lease shall be approved by resolution of the Metropolitan Council receiving twenty one affirmative votes; and
Whereas, in July of 2001, Cummins Station, L.L.C. first amended its contract for office space; and
Whereas this first amendment was approved by Resolution of Council on February 20, 2001; and
Whereas, the parties wish to amend the contract as set forth in Amendment No. Two (“Amendment”), attached hereto as Exhibit A, to delete the term “3900 square feet” in paragraph two and insert “2108 square feet;” and
Whereas, the parties wish to further amend that contract as set forth in the Amendment, to delete the term “three thousand three hundred eighty dollars” in paragraph three and insert the term “one thousand eight hundred thirty and 45/100 dollars per month for the period July 1, 2004 to June 30, 2006;” and
Whereas, it is deemed to be in the best interest of the Metropolitan Government to approve the Amendment.
Now, therefore, be it resolved by the Council of The Metropolitan Government of Nashville and Davidson County:
Section 1. That the lease of office space by The Metropolitan Government of
Nashville and Davidson County from Cummins Station, L.L.C., pursuant to the
terms of Amendment Number Two to their contract, a copy of which is attached
hereto and incorporated herein, is hereby approved.
Section 2. That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
