RESOLUTION NO. RS2003-1611


A resolution approving contracts for the privatization of the long-term acute care facility at Bordeaux Hospital by the Hospital Authority of The Metropolitan Government of Nashville and Davidson County.


WHEREAS, in substitute resolution No. SR99-1413, adopted on March 2, 1999, the Metropolitan Council authorized the Metropolitan Government to execute any and all documents necessary to transfer the properties, functions and outstanding obligation of Metropolitan Bordeaux Hospital (“Bordeaux”) to the Hospital Authority of The Metropolitan Government of Nashville and Davidson County; and

WHEREAS, pursuant to the authorization provided by SR99-1413 the Metropolitan Government entered into a transition agreement with the Hospital Authority for operation of Bordeaux and a Lease Agreement (the “Lease”) for Bordeaux and the adjacent real property consisting of approximately 111 acres; and

WHEREAS, the operation of Bordeaux includes facilities for both long-term acute care and extended care for patients and the Hospital Authority operates Bordeaux using employees of the Metropolitan Government; and

WHEREAS, the Hospital Authority has determined that it is financially advantageous to contract for the private operations of Bordeaux’s long-term acute care hospital facility (the “LTAC”); and

WHEREAS, the Hospital Authority, acting under authority granted by Tenn. Code Ann. § 7-57-101, et seq., entered into negotiations with Kindred Hospitals Limited Partnership (“Kindred”) and the parties have reached an agreement on a sublease for the LTAC (the “LTAC Sublease”) as well as an Ancillary and Support Services Agreement (the “Ancillary Agreement”) for the Hospital Authority to perform support services and a Supplemental Staffing Agreement for temporary staffing of the LTAC; and

WHEREAS, Substitute Resolution No. RS99-1413 required that any contract approved by the Hospital Authority that would otherwise meet the criteria for approval of privatization contracts established by Section 4.12.095 of the Metropolitan Code of Laws be approved by the Metropolitan Council.

Now, therefore, be it resolved by the Council of The Metropolitan Government of Nashville and Davidson County:

Section 1. That the LTAC Sublease by and between the Hospital Authority and Kindred for a lease and operation of the LTAC, including improvements as stated in the LTAC Sublease, and the Ancillary Agreement between the same parties for support services to be provided by the Hospital Authority and The Supplemental Staffing Agreement for temporary staffing of the LTAC be and the same are hereby approved.

Section 2. That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
