RESOLUTION NO. RS2002-1041

A resolution approving the proposed charter for the Metropolitan Educational Access Corporation (MEAC) as a not-for-profit corporation.

WHEREAS, Ordinance No. BL2001-840, adopted on October 16, 2001, amended Section 6.08.080 of the Metropolitan Code of Laws to create the Metropolitan Educational Access Corporation (MEAC) as a not-for-profit corporation; and

WHEREAS, the function of the MEAC is to have responsibility for program production, management, and promotion of the educational access channels on all cable television systems; and

WHEREAS, Section 6.08.080 F.3.b. provides that the directors of the MEAC must be appointed by the Mayor and approved by the Metropolitan Council; and

WHEREAS, Section 6.08.080 F.3. further provides that the MEAC submit a proposed charter to the Metropolitan Council for its approval prior to its filing with the Tennessee Secretary of State as a not-for-profit corporation; and

WHEREAS, a proposed charter, which is in conformity with the provisions of Section 6.08.080 of the Metropolitan Code of Laws, has been submitted for approval by the Metropolitan Council.

NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. That the Metropolitan County Council hereby approves the charter of the Metropolitan Educational Access Corporation (MEAC), a copy of which is attached hereto as Exhibit A and incorporated herein by reference.

Section 2. That this Resolution shall take effect from and after its adoption, the welfare of the Metropolitan Government of Nashville and Davidson County requiring it.
