RESOLUTION NO. RS2002-1011

A resolution approving a second amendment to a lease by and between The Metropolitan Government of Nashville and Davidson County, acting by and through the Mayor's Office of Economic and Community Development and the Sports Authority, and W.S. Investment Holdings, L.P. and Square Investment Holdings, L.P., for the use of additional office space (2002M-039U-09).

Whereas, the Metropolitan Government desires to lease office space for the use of the Mayor's Office of Economic and Community Development and the Sports Authority; and,

Whereas, Substitute Ordinance No. 093-690 approved an amendment to the lease between The Metropolitan Government of Nashville and Davidson County and W.S. Investment Holdings, L.P. and Square Investment Holdings, L.P. for office space; and

Whereas, Lessor has approximately four thousand five hundred eight (4,508) square feet of additional office space ("Second Additional Office Space") located on the fourth floor of 222 Second Avenue North, Suite 430, Nashville, Tennessee, available for rent; and

Whereas, the Metropolitan Government is in need of additional office space for the Mayor's Office of Economic and Community Development and the Sports Authority; and

Whereas, the Metropolitan Government presently rents thirty four thousand one hundred forty-one (34,141) square feet from Lessor on the fifth and fourth floors of 222 Second Avenue North, Nashville, Tennessee; and

Whereas, Lessor and the Metropolitan Government desire to amend the Lease Agreement to include the Second Additional Office Space under the same terms, conditions and restrictions as the Lease Agreement for the Demised Premises except as

hereby amended; and
Whereas, Ordinance No. 093-690 provided that the lease may be amended by resolution receiving twenty-one (21) affirmative votes.

Now, therefore, be it resolved by the Council of The Metropolitan Government of Nashville and Davidson County:

Section 1. That the attached Second Amendment to the lease by and between The Metropolitan Government of Nashville and Davidson County and W.S. Investment Holdings, L.P. and Square Investment Holdings, L.P., be and the same is hereby approved and the Metropolitan Mayor is authorized to execute said Amendment.

Section 2. That this resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
