RESOLUTION NO. R99-1398

A resolution approving an amendment to an Agreement of Exchange between The Metropolitan Government of Nashville and Davidson County and HCA Health Services of Tennessee, Inc., passed by Ordinance No. 97-1023 and authorizing the Metropolitan County Mayor to execute said agreement.

Whereas, The Metropolitan Government of Nashville and Davidson County ("Metro"), has entered into an Agreement of Exchange with HCA Health Services of Tennessee, Inc. ("HCA"), by Ordinance No. 97-1023, and pursuant to which the Metropolitan Government agrees to convey a tract of land consisting of 5.95 acres on which the Due West Landfill presently sits, in exchange for the HCA's agreement to convey to Metro a tract of land consisting of 7.39 acres, and HCA has agreed to pay the expenses related thereto; and

Whereas, the parties to the Agreement wish to decrease the amount of property conveyed from Metro to HCA from 5.95 acres to 4.40 acres; and

Whereas, the parties to the Agreement wish to convey additional property to Metro for use as a public road; and

Whereas, HCA has committed to build the public road to the specifications of the Department of Public Works; and

Whereas, it is deemed to be in the best interest of the Metropolitan Government to amend the Agreement of Exchange with HCA; and

Whereas, Ordinance No. 97-1023 provided that the Agreement of Exchange could be amended by resolution of the Metropolitan County Council approved by twenty-one (21) affirmative votes.

Now, therefore, be it resolved by the Council of The Metropolitan Government of Nashville and Davidson County, that:

Section 1: The amendment to the Agreement of Exchange by and between The Metropolitan Government of Nashville and Davidson County and HCA, a copy of which is attached hereto and incorporated herein by reference, is hereby approved, and the Metropolitan County Mayor is authorized to execute same on behalf of the Metropolitan Government and the Metropolitan County Mayor or his duly authorized representative is authorized to execute all other documents and take all other actions which may be necessary or appropriate to consummate the transactions contemplated by said Agreement of Exchange.

Section 2: This resolution shall take effect from and after its adoption, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
