ORDINANCE NO. BL2017-746

An ordinance approving a participation agreement between the Metropolitan Government of Nashville and Davidson County, through the Metropolitan Department of Public Works, and Century Farms LLC for the design and construction of access roads connecting Cane Ridge Road and Old Franklin Road to the I-24 Interchange at Hickory Hollow Parkway (Proposal No. 2017M-008AG-001).

WHEREAS, Ordinance BL2017-565 approved a participation agreement between Century Farms LLC (“Century Farms”) and the Metropolitan Government of Nashville and Davidson County (“Metro”) wherein Century Farms LLC agreed to fund one hundred percent of the costs of the PE-N and PE-D phases of work on the I-24 Interchange at Hickory Hollow Parkway; and,

WHEREAS, both Century Farms and Metro desire to continue to work with the Tennessee Department of Transportation to obtain state and federal funding to construct the interchange improvements for Hickory Hollow Parkway; and,

WHEREAS, pursuant to Agreement Number 160100 with the State of Tennessee, Metro must agree to complete the adjacent connector roads project(s) as described in Section B(1)(a)(2) of said agreement; and,

WHEREAS, the estimated cost to build the connector roads project(s) is approximately $22,000,000; and,

WHEREAS, Century Farms has agreed to pay the half of the estimated cost associated with said connector roads projects(s), which will be approximately $11,000,000; and,

WHEREAS, it is in the best interest of both Metro and Century Farms to memorialize the above in the attached Participation Agreement.

NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY.

SECTION 1. The participation agreement between the Metropolitan Government and Century Farms LLC, attached hereto and incorporated herein by reference, is hereby approved, and the Mayor is authorized to execute the same.

SECTION 2. Future amendments to this agreement shall be approved by resolution of the Metropolitan Council.

SECTION 3. This ordinance shall take effect from and after its passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.

Amendment No. 1

Mr. President:

I move to amend Ordinance No. BL2017-746 as follows:

By adding the following language at the end of the first recital clause:

WHEREAS, Ordinance BL2017-565 approved a participation agreement between Century Farms LLC (“Century Farms”) and the Metropolitan Government of Nashville and Davidson County (“Metro”) wherein Century Farms LLC agreed to fund one hundred percent of the costs of the PE-N and PE-D phases of work on the I-24 Interchange at Hickory Hollow Parkway (the “PE Costs”) ; and, 

By amending the fourth recital clause as follows:

WHEREAS, the estimated cost to build the connector roads project(s) is approximately $22,000,000 24,000,000; and,

By amending the fifth recital clause as follows:

WHEREAS, Century Farms has agreed to pay the half of the sum of (i) the estimated cost associated with said connector roads projects(s) and (ii) the PE Costs, which will be approximately $11,000,000 12,000,000 (including the PE Costs); and,
