ORDINANCE NO. BL2013-594

An ordinance approving agreements for the acquisition and disposition of real property relating to the construction of a minor league baseball stadium and acquisition of a parcel of property comprising a portion of the campus of the former Tennessee Preparatory School (Proposal No. 2013M-043PR-001).

WHEREAS, the Metropolitan Government proposes to acquire the necessary real property interests and construct a minor league baseball ballpark and related improvements in the area known as Sulphur Dell; and

WHEREAS, pursuant to the terms of the agreement (the “State Agreement”) attached and incorporated into this ordinance as Exhibit A, the Metropolitan Government proposes to acquire two parcels of property (the “Development Parcel” and the “Ballpark Parcel,” respectively) from the State of Tennessee; and

WHEREAS, also pursuant to the terms of the State Agreement, the Metropolitan Government proposes to acquire a portion of the campus of the former Tennessee Preparatory School from the State of Tennessee for school purposes; and

WHEREAS, pursuant to the terms of the agreements (the “Jackson Agreements”) attached and incorporated into this ordinance as Exhibits B and C, the Metropolitan Government proposes to acquire a parcel of property (the “Jackson Parcel”) from Embrey Partners Ltd., a Texas Limited Partnership (“Embrey”); and

WHEREAS, pursuant to the terms of the agreement (the “Jefferson Agreement”) attached and incorporated into this ordinance as Exhibit D, the Metropolitan Government proposes to convey the Development Parcel to Embrey; and

WHEREAS, it is in the best interest of the citizens of Nashville and Davidson County to approve the agreements described herein.

NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. The State Agreement (Exhibit A) is hereby approved.

Section 2. The Jackson Agreements (Exhibits B and C) are hereby approved.

Section 3. The Jefferson Agreement (Exhibit D) is hereby approved.

Section 4. Amendments to any of the agreements approved by this ordinance may be approved by resolution of the Metropolitan Council.

Section 5. The Metropolitan Mayor or his designee is authorized to execute such documents as are necessary to effect the Property conveyances contemplated herein.

Section 6. This ordinance shall take effect from and after its adoption, the welfare of the Metropolitan Government of Nashville and Davidson County requiring it.
