ORDINANCE NO. BL2013-359

An ordinance approving various agreements related to the conveyance of fee interest in ownership of the property on which the Renaissance Hotel is located, and the leasing of certain space within the Metropolitan Government’s existing convention center building (Proposal Number 2013M-003PR-001).

WHEREAS, the Metropolitan Government owns and operates a convention center (the “NCC”) located at 601 Commerce Street, Nashville, Tennessee 37203; and,

WHEREAS, the Metropolitan Government also owns the fee interest in the hotel and office building (the “Adjacent Building”) contiguous to the NCC; and,

WHEREAS, Ashford JV is the tenant with a long-term lease of the portion of the Adjacent Building used for hotel purposes; and,

WHEREAS, pursuant to the terms of the documents attached and incorporated into this ordinance, the Metropolitan Government proposes to convey the fee interest in the Adjacent Building property to Ashford JV; lease portions of the NCC to Ashford to be used in support of the hotel’s business; assign to Ashford JV the Metropolitan Government’s interest as landlord in the leases currently applicable to the Adjacent Building’s hotel and office spaces; and issue a declaration of covenants and easements to provide for the efficient operation of the NCC and the Adjacent Building.

NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. The approvals granted herein shall not become effective unless and until the Metropolitan Planning Commission have approved the subdivision and separation of the NCC property from the Adjacent Building property.

Section 2. The document attached as Exhibit A to this ordinance (the Master Agreement) is hereby approved, and the Metropolitan Mayor or his designee is authorized to execute it on behalf of the Metropolitan Government.

Section 3. The document attached as Exhibit B to this ordinance (the Meeting Space Lease) is hereby approved, and the Metropolitan Mayor or his designee is authorized to execute it on behalf of the Metropolitan Government.

Section 4. The document attached as Exhibit C to this ordinance (the Ancillary Facilities Lease) is hereby approved, and the Metropolitan Mayor or his designee is authorized to execute it on behalf of the Metropolitan Government.

Section 5. The document attached as Exhibit D to this ordinance (the Assignment of the Hotel Lease) is hereby approved, and the Metropolitan Mayor or his designee is authorized to execute it on behalf of the Metropolitan Government.

Section 6. The document attached as Exhibit E to this ordinance (the Assignment of the Office Space Lease) is hereby approved, and the Metropolitan Mayor or his designee is authorized to execute it on behalf of the Metropolitan Government.

Section 7. The document attached as Exhibit F to this ordinance (the Declaration of Covenants and Easements) is hereby approved, and the Metropolitan Mayor or his designee is authorized to execute it on behalf of the Metropolitan Government.

Section 8. The Metropolitan Mayor or his designee is further authorized to execute the quitclaim deed for the Adjacent Building referenced in the Master Agreement and such other documents as are customary and necessary to effect the transactions contemplated therein.

Section 9. Amendments to any of the agreements approved by this ordinance must be authorized by resolution of the Metropolitan Council.

Section 10. This Ordinance shall take effect from and after its passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
