ORDINANCE NO. BL2011-866

An ordinance approving an agreement between the Metropolitan Government and Hospital Corporation of America concerning the exchange of certain parcels of real property and construction of a new public health center (Proposal No. 2011M-004PR-001).

WHEREAS, Hospital Corporation of America (“HCA”) owns a parcel of property consisting of approximately 3.5 acres (the “HCA Property”), part of a larger tract of 14.7 acres owned by HCA and located at 2512 Charlotte Avenue in Nashville, Tennessee; and,

WHEREAS, The Metropolitan Government of Nashville and Davidson County owns a parcel of property consisting of approximately 3.7 acres (the “Metro Property”) located at 311 23rd Avenue North in Nashville, Tennessee where the Lentz Public Health Center is currently located; and,

WHEREAS, HCA proposes to construct a new public health facility on the HCA Property and convey the HCA Property to Metro in exchange for the Metro Property and other consideration in accordance with the terms of the agreement (the “Agreement”) attached to this ordinance as Exhibit 1; and,

WHEREAS, approval of the Agreement will improve the availability and delivery of public health services in Davidson County and is therefore in the best interests of the Metropolitan Government.

NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1: The Agreement is hereby approved, and the Director of Public property or his designee is hereby authorized to execute the Agreement on behalf of the Metropolitan Government.

Section 2: No amendment to the Agreement shall be effective unless approved by resolution of the Metropolitan Council.

Section 3: This ordinance shall take effect from and after its final passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
