ORDINANCE NO. BL2010-690

An ordinance abolishing the Metropolitan Government’s Convention Center Commission by repealing Chapter 2.124 of the Metropolitan Code of Laws and approving an Interlocal Agreement between The Metropolitan Government of Nashville and Davidson County and the Convention Center Authority of the Metropolitan Government for administrative, financial, operational, and management services and appropriating compensation to the Finance Department.

WHEREAS, The Metropolitan Government of Nashville and Davidson County ("Metropolitan Government") owns, operates and maintains a convention center (“Current Center”) located at 601 Commerce Street in Nashville, Tennessee; and

WHEREAS, on August 18, 2009, the Metropolitan County Council of the Metropolitan Government adopted Resolution No. RS2009-881 approving the formation and corporate charter of the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County ("Authority."); and,

WHEREAS, the Metropolitan Government and the Authority, have an interest in the construction of a new Convention Center (“New Center”); and,

WHEREAS, upon completion the Authority will own, operate and maintain the New Center in the area south of Broadway in Nashville, Tennessee; and

WHEREAS, the Authority is a public agency performing a public function pursuant to T.C.A. § 7-89-101, et. seq. (“Act”); and,

WHEREAS, public funds would be best preserved by management, operation and maintenance of both the Current Center and the New Center by a single entity; and

WHEREAS, the Authority is willing to manage, operate and maintain both the Current Center and the New Center; and

WHEREAS, the Authority has requested that the Metropolitan Government provide financial and administrative services for the Authority, including establishing financial accounting, vendor payment and payroll systems to assist the Authority with administering its business and financial transactions; and,

WHEREAS, the Authority has the power to employ and contract with financial and other professional experts as may be necessary to provide for the construction, operation and maintenance of any of its projects; and,

WHEREAS, under the Act the Metropolitan Government has the authority to assign or loan employees to provide services to the Authority; and

WHEREAS, the Metropolitan Government and the Authority have agreed upon the terms of an interlocal agreement whereby the Metropolitan Government by and through the Director of Finance, or his designee, agrees to provide the requested administrative and financial services; and,

WHEREAS, the Metropolitan Government and the Authority have also agreed upon terms in and interlocal agreement whereby the Authority will manage, operate and maintain both the Current Center and the New Center; and,

WHEREAS, transferring responsibility for management, operation and maintenance of the Current Center to the Authority will make it unnecessary for the Convention Center Commission to continue in existence; and,

WHEREAS, Tennessee Code Annotated, Section 12-9-104, provides that public agencies in Tennessee have the authority to enter into interlocal agreements to achieve common objectives subject to the approval of their respective governing bodies; and,

WHEREAS, there has been presented with this ordinance the Interlocal Agreement executed by the Authority, which is the appropriate instrument to be executed and delivered for the purposes intended; and,

WHEREAS, it is to benefit the citizens of the Metropolitan Government that this Interlocal Agreement be approved.

NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

Section 1. Chapter 2.124 of the Metropolitan Code of Laws is repealed in its entirety. The Convention Center Commission shall transfer all records and other property as directed by the Director of Finance.

Section 2. Employees of the Convention Center Commission are hereby transferred to the Metropolitan Department of Finance.

Section 3. That the Interlocal Agreement by and between The Metropolitan Government of Nashville and Davidson County and the Convention Center Authority of The Metropolitan Government of Nashville and Davidson County for administrative, financial, operational and management services be and the same is hereby approved.

Section 4. The Metropolitan Mayor is hereby authorized to execute said Interlocal Agreement.

Section 5. The funds received as compensation to the Metropolitan Government shall be appropriated to the Finance Department to support the functions designated in the Interlocal Agreement.

Section 6. That this ordinance shall take effect on July 1, 2010, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
