ORDINANCE NO. BL2004-129

An ordinance approving an agreement by and between the Metropolitan Government of Nashville and Davidson County and United States Filter Corporation.

Whereas, United States Filter Corporation ("US Filter") is the owner of a patent (the "Patent") on certain chemical application processes relating to the removal of sulfides from flow in sewer lines; and

Whereas, the Metropolitan Government, through the Department of Water and Sewerage Services, operates a sewer system and may from time to time find it useful to undertake sulfide removal from said lines; and

Whereas, US Filter proposes to afford to the Metropolitan Government a license to use the processes protected by the Patent pursuant to the terms of the agreement (the "Agreement") attached as Exhibit A and incorporated into this ordinance; and

Whereas, approval of the agreement is in the best interests of the citizens of Nashville and Davidson County.

NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY:

SECTION 1. The Agreement between the Metropolitan Government of Nashville and Davidson County and United States Filter Corporation attached as Exhibit A is hereby approved and the Director of the Department of Water and Sewerage Services is authorized to execute the Agreement on behalf of the Metropolitan Government.

SECTION 2. Any amendment to the Agreement must be approved by resolution of the Metropolitan Council receiving at least 21 affirmative votes.

SECTION 3. This ordinance shall take effect from and after its passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
