ORDINANCE NO. O99-1577

An ordinance aproving an Intergovernmental Agreement (Hospital Authority) by and between The Metropolitan Government of Nashville and Davidson County and the Hospital Authority of The Metropolitan Government of Nashville and Davidson County.

Whereas, the Metropolitan County Council (the "Metropolitan Council") of The Metropolitan Government of Nashville and Davidson County (the "Metropolitan Government") desires that an Intergovernmental Agreement between the Metropolitan Government and the Hospital Authority of the Metropolitan Government (the "Hospital Authority") created by Resolution R99-1410 of the Metropolitan Council on March 2, 1999 pursuant to Tennessee Code Annotated § 7-57-101 et seq., a copy of which is attached hereto as Exhibit A, be approved, which Intergovernmental Agreement provides for, among other things, the transfer of Metropolitan Nashville General Hospital and Nashville Metropolitan Bordeaux Hospital to the Hospital Authority in exchange for the Hospital Authority agreeing to take certain actions; and

Whereas, the Board of Trustees of the Hospital Authority authorized the chair to execute the Intergovernmental Agreement by resolution on March 4, 1999; and

Whereas, the Metropolitan Council desires to approve the Intergovernmental Agreement (Hospital Authority) and the terms and conditions agreed upon therein.

Now, therefore, be it enacteded by the Metropolitan Council of The Metropolitan Government of Nashville and Davidson County:

Section 1. That the Intergovernmental Agreement (Hospital Authority) between The Metropolitan Government of Nashville and Davidson County and the Hospital Authority of The Metropolitan Government of Nashville and Davidson County, a copy of which is attached hereto as Exhibit A and incorporated herein, is hereby approved and the Metropolitan County Mayor is hereby authorized to execute the same on behalf of the Metropolitan Government.

Section 2. From and after the execution and delivery of the documents approved herein the officers of the Metropolitan Government or any of them, are authorized, empowered and directed to do all such acts and things and to execute all such documents as may be necessary to carry out and comply with the provisions of the documents approved herein.

Section 3. The Intergovernmental Agreement (Hospital Authority) approved herein may be amended by a resolution of the Metropolitan Council which receives at least twenty-one affirmative votes.

Section 4. This ordinance shall take effect from and after its passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
